This End User License Agreement ("EULA" or "Agreement") is a legal agreement between you ("User", "you", or "your") and Devoción Matutina ("we", "us", "our", or "Company") governing your use of the Devoción Matutina mobile application ("App", "Application", or "Software"). By downloading, installing, accessing, or using the App, you agree to be bound by the terms and conditions of this Agreement. If you do not agree to these terms, do not use the App.
1. Acceptance of Terms
By downloading, installing, accessing, or using the App, you acknowledge that you have read, understood, and agree to be bound by this EULA and all applicable laws and regulations. If you do not agree with any part of this Agreement, you must not download, install, access, or use the App.
2. Grant of License
2.1 Limited License
Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable, non-sublicensable license to install and use the App on your personal mobile device(s) for your personal, non-commercial use only, in accordance with the terms of this Agreement.
2.2 License Restrictions
You may NOT:
- Copy, modify, adapt, alter, translate, or create derivative works of the App or any part thereof.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the App.
- Remove, alter, or obscure any copyright, trademark, or other proprietary rights notice on or in the App.
- Rent, lease, loan, sell, sublicense, distribute, or otherwise transfer the App or any portion thereof to any third party.
- Use the App for any commercial purpose or in any manner that violates any applicable law or regulation.
- Use the App to transmit any malicious code, viruses, or harmful data.
- Interfere with or disrupt the App or servers or networks connected to the App.
- Use automated systems (bots, scrapers, etc.) to access the App without our express written permission.
3. Intellectual Property Rights
3.1 Ownership
The App, including all content, features, functionality, graphics, user interfaces, logos, trademarks, and software, is owned by Devoción Matutina or its licensors and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. This Agreement does not transfer any ownership rights to you.
3.2 Content Usage
All content provided through the App, including but not limited to text, graphics, images, audio, video, and software, is protected by copyright and other intellectual property laws. You may not reproduce, distribute, display, perform, or create derivative works from any content without our express written permission, except as expressly permitted by this Agreement.
4. User Accounts
Some features of the App may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account information.
5. Subscriptions and In-App Purchases
The App may offer subscription services or in-app purchases. If you purchase a subscription or make an in-app purchase, additional terms may apply. Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period. You may cancel your subscription at any time through your device's subscription settings or your account settings in the App. Refunds are subject to the policies of the app store from which you purchased the subscription.
6. Updates and Modifications
We reserve the right to modify, update, suspend, or discontinue the App or any part thereof at any time, with or without notice. We may also release updates to the App, which may be automatically downloaded and installed on your device. You agree to accept such updates to continue using the App. We do not guarantee that the App will be available at all times or will be error-free.
7. Privacy
Your use of the App is also governed by our Privacy Policy, which is incorporated into this Agreement by reference. By using the App, you consent to the collection and use of your information as described in our Privacy Policy.
8. Disclaimers
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. WE DO NOT WARRANT THAT THE APP WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DEVOCIÓN MATUTINA, ITS AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10. Indemnification
You agree to indemnify, defend, and hold harmless Devoción Matutina, its affiliates, licensors, and service providers, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of this Agreement or your use of the App.
11. Termination
This Agreement is effective until terminated. We may terminate or suspend your license to use the App immediately, without prior notice or liability, for any reason, including if you breach any term of this Agreement. Upon termination, your right to use the App will cease immediately, and you must delete all copies of the App from your devices. All provisions of this Agreement which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.
12. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Devoción Matutina operates, without regard to its conflict of law provisions. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.
13. Changes to This Agreement
We reserve the right to modify this Agreement at any time. We will notify you of any material changes by posting the updated Agreement in the App or by other means. Your continued use of the App after such modifications constitutes your acceptance of the modified Agreement. If you do not agree to the modifications, you must stop using the App.
14. Severability
If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect and enforceable.
